Mariwave Terms of Service

Last updated October 12, 2026

These Terms govern your use of Mariwave, an offline and online harness for AI agentic workflows. The Mariwave Confidentiality Agreement is part of these Terms.

1. Who we are and accepting these Terms

1.1 Mariwave. The Product is provided by Mariwave, LLC, a Delaware limited liability company (“Mariwave,” “we”). Contact: [email protected].

1.2 Acceptance. You accept these Terms and the Mariwave Confidentiality Agreement when you download, install or run the Mariwave application, or create or use a Mariwave cloud account. If you do not agree, do not use the Product.

1.3 Eligibility. You must be at least 18 and able to form a binding contract. If you use the Product for an organization, you confirm you can bind it.

1.4 Accounts. Cloud Use requires an account. Give accurate information, keep your credentials secure, and tell us promptly about unauthorized use. Local Use may not require an account, but these Terms still apply.

1.5 Pre-release product; demonstration use only. The Product is a pre-release version provided solely for evaluation and demonstration. You will use it only with sample, test or non-sensitive data in demonstration scenarios. You will not use it for production, commercial or client work, or to process confidential, proprietary, personal, regulated or otherwise sensitive information. The Product may contain errors, may lose data, and may change or be discontinued without notice. Any use outside this Section is at your sole risk, and Section 4 (Disclaimers, liability and indemnification) applies in full to that use.

2. Using the Product

2.1 License. We grant you a personal, revocable, non-exclusive, non-transferable license to install and use the Product under these Terms. We keep all other rights. Open-source components are licensed under their own licenses, which control for those components.

2.2 Acceptable use. You will not use the Product to:

  • break any law or infringe anyone’s rights;
  • create malware, attack systems, or access data or systems without permission;
  • generate content that exploits children, harasses people, or enables weapons or violence;
  • get around usage limits, security or access controls;
  • resell, sublicense or offer the Product as a service without our written permission; or
  • breach any third-party model provider’s usage policy.

2.3 Your Content and outputs. You own your inputs and, as between you and us, the outputs you receive. You are responsible for them and for checking outputs before relying on them. Local Use keeps Your Content on your device unless you connect a cloud service. For Cloud Use, you let us process Your Content only to run, secure and support the Product. We do not use Your Content to train models unless you opt in.

2.4 Third-party models and services. The Product can connect to local runtimes (such as Ollama) and cloud model providers (such as Anthropic). Those are governed by their own terms and privacy policies, which you must follow. We are not responsible for them.

2.5 Agent actions. Agents you enable can take real actions on your systems and accounts. You decide what to enable and are responsible for what agents do under your settings.

3. Fees, privacy and termination

3.1 Fees. Paid plans are billed as shown at purchase. Third-party model usage may be billed separately by that provider. If a plan renews automatically, we will disclose the terms clearly before purchase, get your consent, and let you cancel online, as California’s automatic renewal law requires (Cal. Bus. & Prof. Code §17600 et seq.).

3.2 Privacy. Our Privacy Policy explains what we collect and how we use it. California residents may request to know, delete or correct personal information, opt out of its sale or sharing, and limit use of sensitive personal information, and we will not discriminate against you for doing so. We do not sell personal information. Requests: [email protected].

3.3 Changes. We may update the Product and these Terms. For material changes we will give reasonable notice, such as by email or in the app, before they take effect. Continuing to use the Product after that means you accept them.

3.4 Termination. You may stop using the Product and delete your account at any time. We may suspend or end your access if you breach these Terms or if needed to protect the Product, users or the law. Sections that by their nature should survive will survive, including the Confidentiality Agreement, Sections 2.3, 4 and 5.

4. Disclaimers, liability and indemnification

4.1 As is. The Product, AI Features and all outputs are provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and that the Product will be secure, error-free or uninterrupted. AI output can be wrong; do not rely on it for legal, medical, financial or safety decisions without independent review.

4.2 Limit of liability. To the extent the law allows, Mariwave will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost data, profits or business, including losses from agent actions, model output or security incidents outside our control. Our total liability for all claims is limited to the greater of what you paid us in the 12 months before the claim or $100.

4.3 What these limits do not cover. Nothing in these Terms limits liability for our fraud, willful misconduct, gross negligence, or violation of law (Cal. Civ. Code §1668), or any liability that cannot be limited by law. Some places do not allow certain disclaimers or limits, so they may not apply to you.

4.4 Indemnification. Your indemnity obligations, including for inadvertent or unplanned results of enabling AI Features locally or in the cloud and for security incidents you cause, are set out in Section 4 of the Confidentiality Agreement and apply to these Terms, subject to the California limits stated there.

5. Disputes and general terms

5.1 Try to resolve it first. Before filing a claim, send a written notice to [email protected] describing the issue. Both sides will try in good faith to resolve it within 30 days.

5.2 Governing law and courts. Delaware law governs these Terms, without regard to conflict-of-law rules. Disputes go to the state or federal courts in Delaware. If you are a California resident using the Product for personal purposes, you keep every protection California law gives you that cannot be waived by contract, and you may bring or defend a claim in the courts of the California county where you live. Either party may use small claims court where eligible.

5.3 Export and sanctions. You will follow U.S. export control and sanctions laws when using the Product and any models it connects to.

5.4 General. These Terms, the Confidentiality Agreement and the Privacy Policy are the full agreement between us. If a court finds any part unenforceable, that part is limited to the minimum extent needed and the rest stays in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms; we may assign them with our business. Neither party is liable for delays caused by events beyond its reasonable control.

5.5 California notice. Under Cal. Civ. Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services, California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or call (800) 952-5210.
